Terms and conditions for using VoiceVault

1. Acceptance of Terms

By accessing or using VoiceVault ("Service"), operated by Gooverio Labs ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

VoiceVault provides a voice identity protection platform that includes:

  • Voice enrollment and voiceprint generation
  • Voice licensing management and marketplace
  • Watermarking for synthesized audio
  • Real-time voice detection and verification
  • Evidence generation for legal proceedings
  • API access for platform integration

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that the information you provide is accurate and complete.

3.2 Account Types

  • Creator Accounts: For individuals enrolling their voice for protection and licensing.
  • Platform Accounts: For TTS platforms and services integrating our API.
  • Enterprise Accounts: For organizations using detection and protection services.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

4. Voice Enrollment and Rights

4.1 Voice Ownership

By enrolling your voice, you represent and warrant that:

  • You are the owner of the voice being enrolled, or have explicit authorization from the owner
  • You have all necessary rights to register and license the voice
  • The voice enrollment does not infringe on any third-party rights

4.2 License Grant to VoiceVault

You grant VoiceVault a non-exclusive, worldwide license to:

  • Process your voice samples to create voiceprints
  • Store and use voiceprints for identity verification and detection
  • Display your profile information to potential licensees (as configured by you)
  • Use anonymized, aggregated data to improve our algorithms

4.3 Licensing Your Voice

When you set licensing terms, you authorize VoiceVault to facilitate licensing transactions according to your specified terms. You retain all underlying rights to your voice.

5. Platform Partner Obligations

If you are a TTS platform or API user, you agree to:

  • Only synthesize voices for which valid licenses have been obtained through VoiceVault
  • Implement watermarking for all synthesized audio as specified in our API documentation
  • Not attempt to circumvent, remove, or alter watermarks
  • Maintain accurate records of synthesis activities
  • Report licensing revenue accurately for revenue share calculations
  • Comply with all applicable laws regarding synthetic media and AI-generated content

6. Prohibited Uses

You agree not to:

  • Enroll voices without proper authorization
  • Use the Service to create fraudulent, misleading, or harmful content
  • Attempt to reverse-engineer voiceprints or our algorithms
  • Circumvent security measures, watermarks, or detection systems
  • Use the Service for any illegal purpose
  • Interfere with the operation of the Service
  • Violate any third-party rights, including intellectual property rights
  • Resell or redistribute access to the Service without authorization

7. Fees and Payment

7.1 Pricing

Current pricing is available on our Pricing page. We reserve the right to modify pricing with 30 days' notice for existing customers.

7.2 Revenue Sharing

For voice licensing transactions:

  • Creators receive 70% of licensing revenue
  • VoiceVault retains 30% as a platform fee
  • Platform transaction fees (5%) apply to all transactions

7.3 Payment Terms

Payments are processed monthly for the previous period's activity. Minimum payout threshold is $50. We accept major credit cards and bank transfers.

8. Intellectual Property

8.1 VoiceVault IP

The Service, including software, algorithms, documentation, and trademarks, is owned by Gooverio Labs and protected by intellectual property laws. These Terms do not grant you any rights to our IP except as expressly stated.

8.2 Your Content

You retain ownership of your voice recordings and associated content. The licenses granted to VoiceVault are limited to providing and improving the Service.

9. Evidence and Legal Proceedings

9.1 Evidence Generation

Evidence bundles generated by VoiceVault are provided "as is." While we design our systems to produce cryptographically verifiable evidence, we do not guarantee admissibility in any jurisdiction.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Detection results will be 100% accurate
  • Evidence will be admissible in any legal proceeding
  • The Service will meet all your requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOVERIO LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amounts paid by you in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Gooverio Labs and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit or actions you take through the Service

13. Termination

13.1 By You

You may terminate your account at any time through your account settings or by contacting us.

13.2 By Us

We may suspend or terminate your account for violation of these Terms, fraudulent activity, or at our discretion with 30 days' notice.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases. We will delete your data according to our Privacy Policy, except as required for legal compliance.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or prominent notice. Continued use after changes constitutes acceptance.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Gooverio Labs regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
